CTFBio, LLC Beta Program Terms of Use

Definitions

• "Beta Features" means pre-release features and services made available to you for evaluation on the Service.
• "Confidential Information" means all non-public information relating to the Beta Features, including documentation, communications, benchmarks, and performance information.
• "Feedback" means comments, suggestions, ideas, or other input you provide about the Beta Features or the Service.

Important Beta Program Terms

• Confidentiality: Keep all Confidential Information non-public; see "Confidentiality and Non-Disclosure" below.
• Additional Program Policies: Your use may be subject to additional program- or product-specific rules; where they conflict with these Beta Terms, those specific rules control for that Beta Feature.
• Testing Use and Disclaimer: Beta Features are for evaluation/testing only and provided "AS IS/AS AVAILABLE"; see Section 7 (Limitation of Liability and Disclaimer).
• No Commitment; Changes: We may change, suspend, or remove Beta Features without notice and make no commitment to ship them; see "Scope, Modification, and No Commitment" below.
• Feedback: You may provide Feedback; see "Feedback License" below for rights granted to CTFBio.
• Use Restrictions and Sensitive Data: Do not process PHI or other highly sensitive data; see "Use Restrictions and Sensitive Data" below.

1. The Beta Service: A Work in Progress

Beta Features are experimental and may change. See Section 7 (Limitation of Liability and Disclaimer) for the consolidated disclaimer covering "AS IS/AS AVAILABLE," absence of warranties or service levels, testing-only use, and related limitations. Your participation and feedback help us improve the final product.

2. Your Account

• Keep it Secure: Safeguard your password and don't share your account with others.
• Be Truthful: You agree to provide accurate information when you sign up.
• Age Requirement: You must be at least 18 years old to use the Service.

3. Your Responsibilities (Acceptable Use)

We grant you a limited, non-exclusive license to use the Service as long as you follow these rules. You agree not to:

• Generate Harmful Content: Do not create, upload, or share content that is illegal, hateful, harassing, defamatory, or sexually explicit.
• Harm Minors: Do not create content that exploits or harms minors in any way.
• Disrupt the Service: Do not attempt to hack, reverse-engineer, scrape data from, or interfere with our systems, models, or network.
• Infringe on Rights: Do not use the Service to violate intellectual property rights, privacy rights, or any other laws.
• Impersonate Others: Do not impersonate another person or entity. If creating parody content, it must be clearly labeled as such.

We reserve the right to review your activity to ensure compliance with these rules and may suspend or terminate accounts that violate them.

4. Your Content and AI Outputs

• You Own Your Inputs: You retain any ownership rights you have in the content you provide to the Service ("Inputs").
• We Give You the Outputs: We assign to you all our rights, title, and interest in the content generated by the Service in response to your Inputs ("Outputs"). You can use these Outputs for your professional activities, including commercial use.
• Improving the Service: You grant us a license to use your Inputs and Outputs to maintain, develop, and improve our services. We will take steps to de-identify this data where possible.

CRITICAL WARNING: AI is not perfect. Outputs may be inaccurate, incomplete, or biased. They are for informational purposes only and do not constitute professional medical, legal, or financial advice. You are solely responsible for how you use the Outputs. Always verify critical information with a qualified professional.

5. Our Intellectual Property

The Service itself—including our software, models, branding, logos, and designs—is owned by CTFBio, LLC and protected by intellectual property laws. You may not use our branding or trademarks without our prior written permission.

6. Termination

• By You: You can stop using the Service and delete your account at any time.
• By Us: We reserve the right to suspend or terminate your access to the Service at any time, especially if you violate these Terms.

7. Limitation of Liability and Disclaimer

BETA FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" FOR EVALUATION AND TESTING ONLY. THEY MAY CONTAIN BUGS OR ERRORS; FEATURES MAY CHANGE, BE SUSPENDED, OR BE REMOVED AT ANY TIME WITHOUT NOTICE. CTFBIO MAKES NO WARRANTIES OR GUARANTEES OF RELIABILITY, ACCURACY, AVAILABILITY, OR COMPATIBILITY, AND BETA FEATURES MAY NOT RECEIVE THE SAME SUPPORT OR SERVICE LEVELS AS PRODUCTION SERVICES. CTFBIO MAKES NO COMMITMENT TO RELEASE ANY BETA FEATURE IN THE FUTURE.

TO THE FULLEST EXTENT PERMITTED BY LAW, CTFBIO, LLC AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE BETA SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US, IF ANY, IN THE LAST 12 MONTHS.

8. General Terms

• Changes to Terms: We may update these Terms from time to time. We will notify you of significant changes. Continuing to use the Service after changes means you accept the new Terms.
• Governing Law: These Terms are governed by the laws of Delaware, USA, without regard to its conflict of laws principles.
• Export Controls: You agree to comply with all applicable export control and sanctions laws and will not use the Service if you are located in a sanctioned country or on a restricted party list.

Confidentiality and Non-Disclosure

• You acknowledge that information about Beta Features is the confidential information of CTFBio. You will not disclose, publish, or otherwise make available any such information to third parties without our prior written consent.
• You may disclose confidential information only to your employees or contractors who need to know for testing purposes and who are bound by confidentiality obligations no less restrictive than these Beta Terms.
• Your duty of confidentiality continues until we make the relevant information publicly available without your breach or we notify you in writing that the confidentiality obligations are waived.

Scope, Modification, and No Commitment

• These Beta Terms govern only your participation in CTFBio beta programs and control over any conflicting terms that would otherwise apply to production services.
• We may modify, suspend, or discontinue Beta Features at any time without notice and without liability. We make no commitment to release Beta Features in any future product or maintain backward compatibility.

Use Restrictions and Sensitive Data

• Do not use Beta Features to process protected health information (PHI) or other highly sensitive data.
• Do not use Beta Features in regulated or safety-critical settings where failure could cause harm.
• Comply with all applicable laws and third-party rights when using the Service.

Feedback License

You agree that CTFBio may freely use Feedback to develop and improve its products and services. To the fullest extent permitted by law, you grant CTFBio a perpetual, irrevocable, worldwide, sublicensable, transferable, royalty-free license to use, copy, modify, distribute, create derivative works from, and otherwise exploit the Feedback for any purpose without any obligation, attribution, or compensation to you.
